Who We Are

Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Services. If you use the Services on behalf of a company, you represent that you have the authority to bind that company to these Terms.

Use of the Services

You agree to use the Services only for lawful purposes. You may not:

• Use the Services in violation of any applicable law or regulation

• Attempt to gain unauthorized access to our systems, accounts, or data

• Interfere with, disrupt, or overload the Services or their infrastructure

• Copy, resell, or redistribute our systems, deliverables, or materials without our written permission

• Use the Services to send unlawful, deceptive, or abusive communications

Engagements and Deliverables

The specific scope, timeline, fees, and deliverables of any engagement are defined in a separate proposal, order form, or written agreement. Where those documents conflict with these Terms, the written engagement agreement controls for that engagement.

Unless otherwise agreed in writing, all systems, data, and infrastructure we build for you during an engagement remain your property and under your control.

Fees and Payment

Fees are set out in your engagement agreement. Invoices are due according to the terms stated on the invoice. We may pause work on overdue accounts after providing notice.

SMS and Text Messaging Terms

This section describes the Prospeqt SMS program and applies to anyone who opts in to receive text messages from us.

Program Name and Operator

The Prospeqt SMS program is operated by Prospeqt (prospeqt.co). Messages are sent by or on behalf of Prospeqt.

How You Opt In

You will only receive text messages from us if you explicitly opt in — for example, by submitting your mobile number through a form on our website and checking the optional SMS consent checkbox. Consent to receive text messages is not a condition of purchasing any product or service.

What Messages You Will Receive

Messages relate to your inquiry or relationship with Prospeqt and may include:

• Replies to your questions and requests

• Call and meeting scheduling, confirmations, and reminders

• Onboarding, project, and account updates related to your engagement

• Occasional information about our services relevant to your inquiry

Message Frequency

Message frequency varies depending on your activity and conversation with us. You will typically receive no more than 4 messages per month.

Cost

Msg & data rates may apply. Prospeqt does not charge for text messages, but your mobile carrier’s standard message and data rates may apply.

Opting Out

You can cancel the SMS service at any time by replying STOP to any message. After you send STOP, we will send one final message to confirm that you have been unsubscribed, and you will receive no further messages unless you opt in again. You may also opt out by emailing us at team@prospeqt.co.

Consent and Privacy

Mobile numbers, SMS opt-in records, and consent data are never shared with or sold to third parties or affiliates for their marketing or promotional purposes. Carriers are not liable for delayed or undelivered messages. For details on how we handle your information, see our Privacy Policy.

Intellectual Property

Our website, brand, content, templates, and internal methodologies remain our property. You may not use our trademarks or materials without prior written consent, except as needed to use the Services as intended.

Third-Party Services

The Services may rely on or link to third-party platforms and tools. We are not responsible for the availability, terms, or practices of those third parties, and your use of them is subject to their own terms.

Confidentiality

Each party agrees to protect the other party’s non-public business information disclosed during an engagement and to use it only for purposes of that engagement.

Disclaimers

The Services are provided “as is” and “as available.” We do not guarantee specific business outcomes, pipeline volume, revenue, or results. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the fullest extent permitted by law, Prospeqt will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to the Services will not exceed the fees you paid to us in the three months preceding the claim.

Indemnification

You agree to indemnify and hold Prospeqt harmless from claims, damages, and expenses arising out of your misuse of the Services, your content or data, or your violation of these Terms or applicable law.

Termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or if required by law. Provisions relating to intellectual property, confidentiality, disclaimers, liability, and indemnification survive termination.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices or legal requirements. We will post the updated Terms on our website with a revised “Last Updated” date. Continued use of the Services after changes take effect constitutes acceptance.

Governing Law

These Terms are governed by the laws applicable at Prospeqt’s principal place of business, without regard to conflict-of-law rules. Disputes will be resolved in the courts of that jurisdiction unless otherwise agreed in writing.
